Website Requirement Under Turkish Law for Independently Audited Companies (TCC 1524)

Which Companies Are Obliged?

Under Article 1524 of the Turkish Commercial Code (TCC), only capital companies subject to independent audit are required to establish a website. This must be completed within three months of registration.

Independent audit status is determined by a Council of Ministers’ Decree. Companies meeting at least two out of three thresholds (total assets, net sales revenue, employee count) for two consecutive periods fall under this scope. In addition, regulated-sector entities such as banks and financial institutions are included regardless of thresholds.


Content Obligations and Retention Periods

The content to be published on the website falls into two categories:

  1. Permanent Disclosures: MERSIS number, company name, head office, capital data, management and auditor details.

  2. 6-Month Minimum Retention Content: General meeting notices, minutes, financial statements, merger and division reports.

If specific legal timeframes exist, content must be posted within that period; otherwise, it must be uploaded no later than 5 days after the relevant decision or its registration/announcement date.


Technical Standards and Use of MTHS

  • The website must comply with the technical and security criteria set out in the regulation.

  • Companies may fulfill obligations directly or through Central Data Repository Service Providers (MTHS).

  • A 2015 amendment relieved some companies of the obligation to obtain a technical conformity report for their sites.


Penalties for Non-Compliance

Failure to comply may lead to:

  • Annulment of relevant resolutions.

  • Liability of negligent directors or board members for damages.

  • Judicial monetary fines imposed on management bodies.
